These Terms of Service (“Terms”) govern your use of NexusOS.ai (also referred to as “Nexus OS”), accessible at nexus-os.ai and its connected services including TikTok, Instagram, Facebook, YouTube, X (Twitter), LinkedIn, Reddit, and other social platform integrations. By accessing or using nexus-os.ai you agree to these Terms. If you disagree, do not use the platform.
Nexus OS is an AI-powered content creation and automation platform operated by IdeaValidator LLC DBA Nexus OS, a New York limited liability company. The Services enable users to generate original content using AI, train personalized Voice DNA profiles, and publish content to connected third-party social media platforms through official platform APIs. Nexus OS operates under a Bring Your Own Key (“BYOK”) model for AI features: you provide your own third-party API key (e.g., Google Gemini), and AI requests are sent directly from your browser to the third-party provider. Nexus OS servers do not process, intercept, or store your AI prompts or responses.
You must be at least 18 years of age, or the age of majority in your jurisdiction if higher, to use Nexus OS. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. Nexus OS is not intended for and must not be used by anyone under 18.
To access most features you must create an account. You agree to provide accurate registration information, keep your credentials (including FIDO2/Passkey) confidential, notify us immediately at [email protected] of any unauthorized access, and accept responsibility for all activity under your account. We may suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or unlawful activity.
Content generated by Nexus OS is produced by artificial intelligence. You are solely responsible for reviewing all AI-generated content before publication to any platform. IdeaValidator LLC DBA Nexus OS does not guarantee accuracy, originality, or fitness for any particular purpose of AI-generated content, and you are responsible for ensuring it does not infringe the rights of others or violate any law.
Nexus OS uses a Bring Your Own Key model for AI-powered features. By using BYOK, you acknowledge and agree that:
Your Voice DNA profile consists of writing style patterns extracted from content you provide. This data is stored securely using AES-256-GCM encryption, used solely to personalize your content generation, and is never sold to third parties or used to train public AI models. You may delete your Voice DNA profile at any time from Settings.
Nexus OS integrates with third-party social media platforms including TikTok, Instagram, Facebook, YouTube, X, LinkedIn, and Reddit through their official APIs. When you connect a third-party account:

user.info.basic (basic profile display), video.upload (uploading drafts to your account), and video.publish (publishing content to your profile).You retain full ownership of all content you create, upload, or generate using Nexus OS (“User Content”). You grant IdeaValidator LLC a limited, worldwide, non-exclusive, royalty-free license to store, process, modify, and transmit your User Content solely for the purpose of providing the Services, including publishing content to your connected platforms at your direction.
You represent and warrant that you own or have the necessary rights to all User Content, that your User Content does not infringe the intellectual property, privacy, or publicity rights of any third party, and that your User Content complies with all applicable laws and the policies of any platform to which it is published.
You may not use Nexus OS to:
Paid subscriptions are billed monthly or annually. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Refunds are available within 7 days of initial purchase for annual plans only. Monthly plans are non-refundable but access continues until the end of the billing period. We reserve the right to change pricing with at least 30 days’ prior notice.
You retain ownership of all content you create using Nexus OS. You grant IdeaValidator LLC a limited license to process your content solely to provide the service. All rights, title, and interest in the Nexus OS platform itself, including software, interface, trademarks, and underlying technology, remain the exclusive property of IdeaValidator LLC or its licensors.
DMCA / Copyright Infringement: Nexus OS respects intellectual property rights and responds to valid copyright infringement notices under the Digital Millennium Copyright Act (DMCA). If you believe content posted through the Services infringes your copyright, see our full DMCA Policy at https://nexus-os.ai/dmca or contact our designated DMCA agent at [email protected]. We also enforce a repeat-infringer policy and will terminate accounts of users who repeatedly infringe.
You may terminate your account at any time by deleting it from your account settings or by contacting [email protected]. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or engaged in unlawful or harmful behavior.
Upon termination: your right to use the Services immediately ceases; all connected platform OAuth tokens (including TikTok) are immediately revoked and deleted; your personal data is deleted in accordance with our Privacy Policy; and sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will continue in effect.
You agree to indemnify, defend, and hold harmless IdeaValidator LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Services, your User Content, your violation of these Terms, your violation of any third-party platform’s terms (including TikTok’s), your use of third-party AI services through the BYOK model (including any charges, disputes, or violations of the AI provider’s terms arising from your API key usage), or your violation of any third-party rights.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEAVALIDATOR LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES. IDEAVALIDATOR LLC MAKES NO WARRANTIES REGARDING THE AVAILABILITY, PERFORMANCE, ACCURACY, OR OUTPUT OF ANY THIRD-PARTY AI PROVIDER ACCESSED THROUGH THE BYOK MODEL. YOUR USE OF THIRD-PARTY AI SERVICES IS AT YOUR OWN RISK AND SUBJECT TO THAT PROVIDER’S TERMS AND POLICIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEAVALIDATOR LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO IDEAVALIDATOR LLC IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
We may update these Terms at any time. If we make material changes, we will notify you via email or in-app notification at least 14 days before the changes take effect. The version number and date at the top of this document reflect the most recent revision. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of New York County, New York, except that either party may seek injunctive relief in any court of competent jurisdiction for intellectual property disputes.
